CMMC Kits

End User License Agreement

This Agreement governs your purchase and use of digital products ("Materials") sold at cmmckits.com by Brandon Lucariello, doing business as CMMC Kits ("CMMC Kits," "we," "us"). By purchasing, downloading, or using the Materials, you agree to these terms. If you do not agree, do not use the Materials.

1. License grant (single entity)

Unless you purchased an MSP or White-Label license (Section 2), we grant you a perpetual, non-exclusive, non-transferable license for one (1) legal entity to use and adapt the Materials internally to build that entity's own compliance documentation. You may edit, fill in, and brand the documents for your own use.

2. MSP & White-Label licenses

MSP License: permits use of the Materials to produce compliance documentation for up to ten (10) named end-client engagements; additional named clients may be added for the then-current per-client fee. White-Label License: additionally permits rebranding, up to the client cap stated at purchase. Under both, you may not resell, redistribute, or publish the Materials themselves as a standalone product, template set, or download.

4. Intellectual property

The Materials (compilation, original text, workbook logic, and videos) are owned by CMMC Kits. Portions are derived from public-domain U.S. Government works (NIST SP 800-171/171A/172) and the CMMC Model (Creative Commons Attribution 4.0); those underlying government works remain in the public domain.

5. No professional services; no guarantee

The Materials are self-help templates and educational content. They are not consulting, legal, or assessment services. We are not an RP, RPO, CCP, CCA, C3PAO, or LPP and are not affiliated with The Cyber AB, the U.S. Department of Defense, or NIST. We do not warrant that use of the Materials will result in a passing assessment or any particular outcome.

6. Warranty disclaimer

The materials are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the materials or this agreement shall not exceed the amount you paid for the materials. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

8. Termination

This license terminates automatically if you breach it. On termination you must stop using and delete the Materials.

9. Governing law

This Agreement is governed by the laws of the State of New York, without regard to conflict-of-laws rules.

CMMC Kits is currently a sole proprietorship (Brandon Lucariello, d/b/a CMMC Kits); update this entity language if you later form an LLC.
